How could the end of Upwards Only Rent Reviews affect your business?

Upwards Only Rent Reviews (UORRs) have long been common in commercial leases in England and Wales. However, proposed reforms could significantly change how commercial rents are reviewed and will no doubt impact businesses nationwide.

So, what exactly is changing and why does it matter?

UORRs are clauses in commercial leases that allow rent to increase or stay the same at agreed review dates, even if market rental values have fallen. This means tenants can be left paying higher than market rents during economic downturns, regardless of market conditions.

These clauses have often attracted criticism, particularly from small businesses and high street retailers. Many argue they artificially inflate commercial rents and add financial pressure to tenants who may already be facing rising costs.

The Government has proposed banning UORR clauses in new commercial leases in England and Wales. The rational being to create a fairer, more flexible commercial property market that allows the rent to reflect market conditions.

The proposed changes could have several important consequences for both landlords and tenants.

For businesses, more flexible rent reviews could provide greater financial stability and reduce overheads, particularly during difficult trading periods. This may help businesses stay viable, protect jobs and encourage local investment.

For landlords, the reforms may introduce uncertainty, since rental income would no longer be guaranteed at a certain level. However, the changes aim to promote a healthier, more sustainable commercial property market in the long term.

Whilst the proposals target new leases, both tenants and landlords negotiating leases should always carefully consider how rent review provisions are drafted and how they will impact them both in the future.

Commercial leases are complex legal documents and lease terms can have significant financial implications over the course of the tenancy. Seeking legal advice early can help you understand your obligations, negotiate favourable terms and minimise future costs.

Specialist advice can ensure landlords and tenants are well prepared for changes and can make informed decisions when entering into commercial leases.
